AT&T Inc said on Sunday it would buy Deutsche Telekom AG's T-Mobile USA, in a $39 billion cash-and-stock transaction that would create a new industry behemoth by combining two of the four largest U.S. wireless carriers.

The purchase price includes a cash payment of $25 billion with the balance to be paid using AT&T common stock. AT&T has the right to increase the cash portion of the purchase price by up to $4.2 billion.

As part of the deal, Deutsche Telekom will get about 8 percent stake in AT&T, and a Deutsche Telekom representative will join the AT&T board. AT&T can increase the cash component so long as Deutsche Telekom receives at least a 5 percent equity stake in it.

The agreement has been approved by the boards of both companies.

AT&T said it would finance the cash portion with new debt and cash on AT&T's balance sheet. AT&T has an 18-month commitment for a one-year unsecured bridge term facility underwritten by JPMorgan Chase & Co (JPM.N) for $20 billion.

AT&T will not assume any debt from T-Mobile USA or Deutsche Telekom.

AT&T said the deal is expected to be accretive to earnings, excluding non-cash amortization and integration costs, in the third year after closing.

The deal is expected to close in about 12 months.

i dont think they can change your contract.  if they do it should allow you to leave without early cancellation fees.

There's nothing wrong with the deal. It's not like it gives AT&T a monopoly anywhere. I'm just annoyed because I signed a two year contract in November and don't want anything to do with AT&T.

I'm just happy because it improves AT&T's network...and I'm with AT&T right now. Was thinking about jumping back to Verizon when my contract expires, though.

I have unlimited (4G) data for $30 a month with T-Mobile. AT&T and their ifags will ruin it for me.

I've got the $30 unlimited data plan with AT&T, as well. Nothing should change, unless you change plans. They have to honor existing contracts.

Perhaps you can charge them an early termination fee if they do ..lol. no, seriously though. The wireless industry has already been in a shit state of affairs with competition. If you want to terminate early you should be able to.. just pay the difference on your discounted phone for signing up.

I fucking hate AT&T so much. I love my iPhone, but I'm switching to Verizon in 2012 when my contract expires. AT&T's service is absolutely horrendous.

NYC is one of those areas I've heard. It really depends on the city. Some people are very happy with AT&T. When they do have (3G) service it is fast. However, AT&T scored the lowest in a recent consumer report customer satisfaction survey.

Alltel bought GTE, Verizon bought Alltel,  .. mostly to integrate their networks.

Right. It was a rumor. The CEO of Verizon has specifically stated that they were not buying sprint. They bought Altell just a few years ago for 27 billion.

There is no such thing as a good deal when it comes to wireless devices and plans. Good phones cost 500$+ when bought at retail price, so they make you sign a 2 year contract for a discounted price. You're locked into that contract and you have to pay a nasty fee if you want out. During that contract you need to pay for extras, like insurance, texting, data packages (this is for verizon anyways) and various other services.

A good deal is buying the phone unlocked, if possible, and having a month-to-month plan. You'll usually end up having saved $50-$100 after the two years that a contract would've run, and you can sell your phone to cover some of the loss if you want to switch to an incompatible carrier. Still only a good deal by American standards, though.
